This Commercial Office Lease (the Lease) is entered into by Summit Ridge Properties LLC, a Colorado limited liability company (Landlord), and Northstar Creative Group Inc., a Colorado corporation (Tenant), for approximately 9,400 rentable square feet on the third floor of the building located at 1420 Wynkoop Street, Denver, Colorado.

The premises are delivered in their current condition, and Tenant acknowledges it has inspected the premises and accepts them subject to the terms of this Lease.

The initial term of this Lease is five (5) years, commencing on January 1, 2027 and expiring on December 31, 2031, unless earlier terminated in accordance with this Lease.

This Lease shall automatically renew for successive one (1) year periods unless either party delivers written notice of non-renewal at least one hundred eighty (180) days before the expiration of the then-current term.

Tenant shall pay monthly base rent of Eighteen Thousand Five Hundred Dollars ($18,500), due on or before the first business day of each calendar month, without offset or deduction.

On each anniversary of the commencement date, base rent shall increase by three percent (3%) over the base rent in effect during the immediately preceding year.

If any rent payment is received more than five (5) business days after its due date, Tenant shall pay a late charge equal to five percent (5%) of the overdue amount, plus interest at the rate stated in this Lease.

Upon execution of this Lease, Tenant shall deposit with Landlord the sum of Thirty-Seven Thousand Dollars ($37,000) as security for Tenant's faithful performance of its obligations under this Lease.

Tenant shall maintain commercial general liability insurance with limits of not less than the amounts set forth on Exhibit C, naming Landlord as an additional insured, and shall deliver a certificate of insurance to Landlord before taking occupancy of the premises.

The specific coverage types, limits, and carrier rating requirements are described in Exhibit C, Insurance Requirements, attached to this Lease.

Tenant shall, at its sole cost, maintain and repair the interior of the premises, including interior HVAC equipment serving the premises, plumbing fixtures, lighting, and interior finishes, and shall complete an annual compliance certification for building systems under its control.

Landlord shall maintain the roof, foundation, exterior walls, common areas, and base building systems, except to the extent damage is caused by Tenant's negligence or misuse.

Tenant shall not assign this Lease or sublet all or any portion of the premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed.

Any permitted assignment shall not release Tenant from its obligations under this Lease unless Landlord expressly agrees in writing.

Each party shall indemnify the other against third-party claims to the extent caused by the indemnifying party's negligence or willful misconduct in connection with the premises.

Landlord may terminate this Lease upon an uncured Tenant default, including failure to pay rent within ten (10) days after written notice of nonpayment.

Upon expiration or earlier termination, Tenant shall surrender the premises in good condition, ordinary wear and tear excepted.

All notices under this Lease must be in writing and delivered by nationally recognized overnight courier or certified mail to the addresses stated on the signature page.

This Lease is governed by the laws of the State of Colorado, without regard to its conflict of laws principles.
